Firm client, the Nevada Association of Latin Americans--- better known as "NALA"--- held a press conference at 10:00 am today (January 28, 2010) to alert the public to the Southern Nevada Regional Housing Authority's scheme to drive NALA out of the building it has occupied and used for its affordable childcare program since 1979. NALA provides affordable childcare and education on a sliding scale basis to low income families of all races, religions and backgrounds. As any parent would agree, for those of us who have the good fortune to still be employed, affordable childcare is more important now than it has ever been. The Housing Authority voted in a meeting approximately a week and a half ago to terminate NALA's lease allegedly "for cause". However, the Housing Authority took this action without providing NALA with advance written notice or an opportunity to cure, all in direct contravention of the lease agreement. NALA has the right to occupy this property under the current terms until 2011. The Housing Authority owes a covenant of quiet enjoyment and good faith and fair dealing to NALA under the lease agreement, and its actions violate these covenants. Since the Housing Authority has made it abundantly clear that it will not follow the terms of the lease agreement, NALA is left with no choice but to file a complaint in District Court and seek an order enjoining the Housing Authority from taking further action to remove NALA from the building. Teale Advocate is representing NALA on a pro bono basis in this matter. Your support and contributions are appreciated in this time of need for NALA. Please contact your state and local representatives and the Housing Authority to express your support for NALA, and as always, if you would like to volunteer or contribute to NALA in anyway, please contact them at http://www.nalacares.com or (702) 382-6252. |

Monday, 02 February 2009 17:40 |
| If you are responsible for handling your business' use tax return, February 2, 2009 isn't just the day after the Superbowl. It's your deadline for remitting use taxes. | | | | The State of Nevada's Department of Taxation sent out Consumer Use Tax Returns to Nevada businesses in December 2008. The return must be completed and submitted with any use tax due on or before February 2, 2009. If your return is postmarked after February 2, 2009, you will incur penalties and interest, which increase incrementally the longer you delay. | | |

While there are a lot of reasons for forming a corporation or an LLC to operate your business, for most people, the top reason is probably to limit your personal liability as owner-operator. Many small business owners are surprised to find out that forming a corporation or an LLC is not an impenetrable shield against personal liability. In fact, the small business corporation or LLC is more of a “screen” than a “shield”. As such, you need to carefully maintain your corporation or LLC to maximize its effectiveness as a shield against personal liability. Furthermore, you should view incorporation as just one element in the risk management plan for your business and your investment.
